1. Agreement to Terms

By accessing or using eaxy.ai (the “Service”), operated by Eaxy AI / CodeAustral (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Description of Service

Eaxy AI is an AI-powered customer service platform that helps small businesses automate support across multiple channels including WhatsApp, Telegram, Instagram, web chat, and more. Each customer receives dedicated server infrastructure running OpenClaw, an open-source AI platform.

3. Account Registration

To use the Service, you must:

• Be at least 18 years of age.
• Provide accurate and complete registration information.
• Maintain the security and confidentiality of your account credentials.
• Accept responsibility for all activity that occurs under your account.

You must notify us immediately if you become aware of any unauthorized use of your account.

4. Subscription and Billing

The Service is offered on a subscription basis, billed monthly or annually. All payments are processed securely through Stripe.

• Subscriptions automatically renew at the end of each billing period unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
• No refunds are provided for partial billing periods.
• Service begins upon successful payment.

5. Acceptable Use

You agree not to use the Service to:

• Transmit, store, or distribute illegal, harmful, or offensive content.
• Send spam or unsolicited communications.
• Harass, threaten, or abuse other users.
• Reverse-engineer, decompile, or attempt to extract the source code of any proprietary component of the Service.
• Use the Service in a way that impersonates a human where disclosure of AI use is legally required.

We reserve the right to suspend or terminate accounts that violate these terms.

6. Data and Privacy

Each customer receives isolated, dedicated infrastructure. Your customer conversation data remains on your dedicated server. We do not access your customer conversations except for technical support purposes and only with your explicit permission.

7. Intellectual Property

The Eaxy AI name, logo, branding, and proprietary software are owned by CodeAustral. All rights are reserved.

Your business content—including FAQs, menus, product information, and any other material you upload—remains your intellectual property.

OpenClaw, the AI platform powering the Service, is open-source software distributed under the MIT License.

8. Service Availability

We strive to maintain 99.9% uptime for all customer instances. However, we do not guarantee uninterrupted availability. Scheduled maintenance windows may occasionally be required, and we will provide advance notice whenever possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Eaxy AI and CodeAustral shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

We are not responsible for the accuracy, appropriateness, or reliability of AI-generated content. You are solely responsible for reviewing and verifying any responses provided by your AI assistant.

Our total aggregate liability for any claims arising under these terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

10. Termination

Either party may terminate this agreement at any time. You may cancel your account through your dashboard or by contacting us at [email protected].

Upon cancellation, your dedicated server will be deprovisioned within 30 days. You may request a data export before your server is removed.

11. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email to the address associated with your account. Your continued use of the Service after any changes constitutes acceptance of the revised terms.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
